DESSAPORT - THE COMPANY


OVERVIEW

Dessaport is a Canadian corporation formed in 1991 to identify, undertake and market trading and investment ventures in Eastern Europe and China. The company is presently involved with several development projects in Ukraine & Poland. Dessaport has ownership in the Polish company EuroPort Poland Inc. a port developer, majority ownership of Alliance World Transport Inc., a Canadian based freight forwarding company, sole owner of Commodity House Inc., an export/import trading house, and sole owner of Dessaport Consulting Services Inc., a consulting services division for its group companies.

Formed by a consortium of Canadian companies involved in the engineering and construction, financial services and real estate industries, Dessaport & its subsidiaries have expertise in trade, marketing, finance and project development to facilitate profitable dealings in the target markets.

The company's experience and wide range of international contacts enables it to successfully promote Canadian services and products to the global marketplace.

CURRENT ACTIVITIES

1. Agricultural commodities terminal in Gdansk, Poland

Dessaport was one of two founding partners, which negotiated a contract with the Port Authority of Gdansk to develop 56 hectares of land and a deepwater ocean pier for the purpose of contructing a grain and fertilizer handling terminal, as well as other complimentary industries.

The new terminal at Gdansk presently under construction will be the major deepwater grain handling terminal for the Central Europe and Baltic region, offering a secure and technically advanced terminal, able to handle post Panamax and large ocean-going grain carriers with speed and efficiency. The terminal construction, Phase I, is 50% complete and has a cost of US$79 million. The project is believed to be the largest Canadian investment in Poland.

Dessaport's partners in this project are Strait Crossing Inc./AECON, one of Canada's leading construction companies which recently completed the US$625 million 13 km PEI bridge, and Elia Corporation, a US based construction & trading company, which initiated the project concept together with Dessaport. The new terminal will serve local and multinational grain traders for their activities in Central Europe.

With Europort's existing deepwater pier and adjacent lands, the potential for future phases of this development and spin-off projects such as grain related processing industries, and other bulk material handling are attractive, allowing Poland to be competitive on an international scale.

2. Grain terminal in Odessa, Ukraine

In 1998 negotiations were commenced regarding the construction of a modern grain terminal at the port of Odessa, Ukraine. The land lease for this new US$46.4 million project was concluded in October 2000. Construction is expected to commence in September 2002 with terminal operations to start in May 2004. The project is being led by Dessaport Terminals B.V. of Netherlands, a subsidiary of Dessaport Holdings. It is anticipated the terminal construction will be managed by a large Canadian engineering & construction group and the terminal operations by a well established French agricultural cooperative.

With privatization & new legislation regarding the agricultural industry in Ukraine, the country's massive potential for agri-production will start to be realized in the coming years. Dessaport believes the new terminal will facilitate efficient export of Ukrainian, Russian, & Kazakhstanian bulk commodities to world markets.

3. Trade development in Ukraine

Dessaport has been involved with trade in Ukraine since 1992. Dessaport's Ukrainian associates monitor the current political & economic situation and actively seek trade and investment opportunities with successful Ukrainian enterprises. Dessaport has hosted numerous Ukrainian delegations in Canada, and on several occassions has offered advice to the Ukrainian Ministry of Energy on utility system modernization & energy conservation.

4. Trade links with the People's Republic of China

Dessaport has spent several years cultivating a strong relationship with the Ministry of Internal Trade in China to promote trading opportunities in China. The company's associates in China enable it to remain in constant contact with market trends and industry and government leaders.

To date, Dessaport has hosted six Chinese delegations in Canada and has taken part in five trips to China to identify business and joint venture opportunities for our domestic clients. As well, Dessaport has organized trading seminars in Canada for Chinese managers.

Dessaport assists Canadian companies wishing to enter the Chinese market by identifying potential contacts, matching them with appropriate Chinese companies and groups, researching industries and particular markets and helping them understand how to do business in the Chinese culture and marketplace.

5. Alliance World Transport Inc.

Dessaport is majority shareholder of Alliance World Transport Inc., a freight forwarding company located in Halifax, Canada. Alliance provides a variety of services to help Canadian exporters deliver their products more efficiently and economically to world markets. Alliance has shipped products to over 100 countries.

Alliance's services include analysis of shipping routes and negotiation of cargo rates, insurance, Letter of Credit, pick-up, delivery and return of containers and preparation and distribution of all export/import documentation. These services are designed to meet the needs of clients by dealing with the complications of export shipping and attempting to minimize export costs and risks.

Alliance has extensive experience in the handling of a variety of commodities including frozen seafood, frozen vegetables, pre-fabricated housing, automobiles, large equipment, steel products, manufactued products and beer. The company takes great pride in providing superior 24-hour customer services at competitive rates. Alliance believes in flexibility of its services to meet the changing needs of its clients.

6. Commodity House Inc.

Dessaport is sole owner of Commodity House Inc., a Canadian Corporation formed in 1998 as a commodity trading company for both import and export.Commodity House promotes and executes trading activities on a global basis, to open new marketing opportunities in selected fast growing developing economies.

Commodity House provides the following services: sourcing & marketing goods such as grain, frozen fruits, juice concentrate, purees, canned goods, high-end clothing & fish products for export & import. Trading activities are primarily conducted in Czech, Slovakia, Poland, China, Taiwan, Ukraine & the Middle East; networking through established agents and warehouses; and presenting products at trade shows, seminars and other international trade functions.

7. Dessaport Consulting Services Inc.

Dessaport Consulting Services Inc. is a corporation formed in 1998 as Dessaport's development group searching for, analyzing and promoting new investment opportunities in developing countries.

SUMMARY

Dessaport can assist and represent companies wishing to develop Central & Eastern Europe, & China, & other world markets as a new export market or as a site for investment or satellite production activities. Dessaport is also seeking competitive suppliers of products and technologies, which could successfully be exported to these marketplaces. In selected projects Dessaport becomes an equity partner or project syndicator.

Dessaport's primary goal is to aid in the development and operation of infrastructure projects in these countries and also to facilitate trade in goods and services. The success of these projects will help to strengthen international ties in a positive manner.
